NOTICE is hereby given of a General Meeting of the Girl Guides Association (New South Wales) which is to be held on Saturday 16 December 2023 commencing at 10:30am online via a Zoom link which will be provided in further communications.
 

Business of the General Meeting

  1. Welcome and Declaration of Quorum
  2. Acknowledgement of Country
  3. Apologies
  4. Consideration of Members’ Business
    Proposed Resolution A(1):
    Should the State Commissioner not immediately resign her position, the General Meeting requests the Board at its next meeting resolve to terminate the appointment of the State Commissioner in accordance with clause 12.12.1 of the Girl Guides NSW, ACT & NT Constitution.
     
    Proposed Resolution A(2):
    Should the State Commissioner not immediately resign her position, and is not terminated by the Board at its next meeting, this General Meeting requests the Board at its next meeting resolve to not extend the appointment of the State Commissioner as provided for in clause 12.1.2 of the Girl Guides NSW, ACT & NT Constitution.
     
    Proposed Resolution B(1):
    Pursuant to clauses 6.8.4.1 and 6.8.4.2 of the Girl Guides NSW, ACT & NT Constitution, this General Meeting resolves to:
    1. Remove the following Directors:
      1. Cecily Zhu
      2. Aine Leonard
      3. Charlotte Weatherall
      4. Michelle Kothe
      5. Nav Johal
      6. Race Barstow
    2. Appoint the following Members to replace the Directors who have been removed (to a maximum of five Member Elected Directors):
      1. Rosemary Derwin AM
      2. Prue Carpenter AM
      3. Belinda Allen OAM
      4. Elizabeth Baker
      5. Rebecca Pendergast
  5. Close of General Meeting
 
 
Members have the right to appoint a proxy and for reasons of electoral integrity, proxy voting will be available via the BigPulse online voting platform. It will be available up until 3 hours before the meeting for a valid proxy vote to be lodged. Details of how to access the online proxies will be made available in subsequent communications. BigPulse will also be used for all voting during the meeting.
 
If Members are unable to vote via the Bigpulse online voting platform, please contact the CEO for assistance.

This General Meeting will be held as an on-line meeting.  All eligible Adult Members are entitled to attend or if unable to attend can be represented by way of proxy.  On-line voting and electronic proxies will be available via links which will be provided in further communications. The meeting has been requested by Members under clause 6.1.2  of the Constitution.

REGISTRATION & REFUND POLICY EVENTS:
Unless specified otherwise, you must be a current and active Member of Girl Guides NSW, ACT & NT to attend. Membership must be current before registering.
For large in-person events, registrations close 3 weeks prior to event date, unless sold out prior (unless specified in event information).
There are no name changes or refunds after registration close date.
All refund requests must be submitted via email to [email protected].
 
REFUNDS
All refunds must be requested via email. If applicableRefunds are not offered after the registration close date. However, refunds will be considered after the registration close date under extenuating circumstances (e.g. medical emergency or death in the family).

CANCELLATIONS
If an event is cancelled, registrants will be refunded. However, in the event of the cancellation of a fundraising event, ticket price will be refunded minus the amount of the donation included. If a course is cancelled attendees will be offered a transfer to another instance of the same course.
