The Board of Directors (the Board) moves the Motion that the previously released Proposed Constitutional Changes not proceed and that this matter be represented to the members at the next AGM.

If the majority of Members vote in favour of the motion (approve) the General Meeting agenda item Announcement of the results of the Constitutional Changes Vote will not proceed and the announcement of the results of the vote for this motion will be announced in place.

What has led to this motion?
The Board of Directors (the Board) previously released Proposed Resolutions for amendments to the Constitution for consideration by the Membership at the 2023 Annual General Meeting (AGM), 2 March 2024.

At said AGM the vote on constitutional changes was postponed until a General Meeting to be held in May 2024.

After further deliberation, the Board has determined that it would be in the best interest of the organisation to defer these proposed changes to the next Annual General Meeting (AGM) for further discussion and consideration by the Membership.

Why not just rescind the resolution to amend the Constitution?
To comply with our Constitution, the Board cannot withdraw or rescind a resolution put to the Members. Therefore the Board has moved the Motion that the previously released Proposed Constitutional Changes not proceed and that this matter be represented to the members at the next AGM.

What happens if the motion is approved?
If the majority of Members vote in favour of the motion (approve) the General Meeting agenda item Announcement of the results of the Constitutional Changes Vote will not proceed and the announcement of the results of the vote for the motion that the previously released Proposed Constitutional Changes not proceed and that this matter be represented to the members at the next AGM will be announced in place.

What happens if this motion is rejected?
The Board will put forward the ballot as it stood prior to the 2 March AGM for decision at the 19 May 2024 General Meeting. Voting will be opened and participated in digitally from the floor and virtually using a link and QR code shared during the meeting. Previous votes from the online ballot prior to the AGM will still be valid and counted, unless a Member casts a vote in the current ballot, replacing their earlier vote. If a Member is unsure if they voted in the online ballot prior to the AGM they should cast their vote in the current ballot. If a Member did participate in the previous ballot before it was deferred, and they vote again, the most recent vote will be counted and any earlier vote will be superseded.
