NOTICE is hereby given of a General Meeting of the Girl Guides Association (New South Wales) which is to be held on Saturday 28 October 2023 commencing at 11.00am in person at the University of Technology Sydney and via the link below.

Business of the General Meeting

  1. Welcome and Declaration of Quorum

  2. Acknowledgement of Country

  3. Apologies

  4. Consideration of the business of the meeting:

    Resolution A1:     This General Meeting has no confidence in the leadership of the State Commissioner. 

    Resolution A2:     This General Meeting requests the State Commissioner resign from her position immediately and she cease to hold office. 

    Resolution A3:     This General Meeting requests the former Chief Commissioner of Girl Guides Australia, Rosemary Derwin, who is also a Member of Girl Guides NSW, ACT & NT, to form a panel comprised of up to four experienced Girl Guiding personnel (“Acting State Commissioner Selection Panel”), including a Region Manager and at least one young woman Member, to undertake a merit-based selection process to appoint an Acting State Commissioner from those nominated and to announce the successful candidate's name within 48 hours of this meeting. 

    Resolution A4:     This General Meeting now calls for nominations from the floor for the position of Acting State Commissioner for a period that does not extend beyond the next Annual General Meeting. 

    Resolution B1:     This General Meeting has no confidence in the Board. 

    Resolution B2:     Pursuant to clauses 6.8.4.1 and 6.8.4.2 of the Girl Guides NSW, ACT & NT Constitution this General Meeting:
    removes all current Board Directors including the Chair of the Board from their positions immediately;

    1. directs the Acting State Commissioner, once appointed, to work with a panel comprised of experienced Girl Guiding personnel (“Director Selection Panel”), including a Region Manager and at least one young woman Member, to undertake a merit-based selection process to appoint Members to fill the Elected Director casual vacancies caused by the termination of the former Board within one week of this meeting; 

    2. directs the Acting State Commissioner to ensure the Constitutional provisions relating to inclusion of at least one young woman under the age of 30 years on the Board are complied with; 

    3. directs the Director Selection Panel filling the Elected Director casual vacancies to ensure those selected collectively hold sound governance experience; have a good knowledge of Girl Guides NSW, ACT & NT, Girl Guiding in Australia and WAGGGS organisations and responsibilities; and an appreciation of the risks currently faced by Girl Guides NSW, ACT & NT; 

    4. directs that when filling the Co-opted Director positions, the Director Selection Panel and Interim Board ensures that each Co-opted Director possesses sound governance experience and skills that complement the skills of those selected to fill the Elected Directors casual vacancies; and 

    5. directs the Interim Board to elect, from those Adult Members who are filling the Elected Director casual vacancies, an Interim Chair of the Board who is suitably qualified and experienced.
